Executive Compensation and Benefits

The Securities Group provides comprehensive solutions for attracting, motivating and retaining employees through equity and incentive compensation.   We have extensive experience in designing and implementing stock option, restricted stock, bonus stock, phantom stock and performance based plans for both public companies and privately held, venture capital backed companies.

Working closely with our Tax and Wealth Preservation and Employment Groups, our attorneys regularly represent both corporations and corporate executives in negotiating employment and severance arrangements.   We are particularly skilled in addressing change of control arrangements and golden parachute excise tax issues under Section 280G of the Internal Revenue Code.
