Protecting Trade Secrets:
Proactive steps employers can take as employees come and go

As company assets increasingly reside in computer drives and in the minds of employees, concerns about those assets migrating to competitors increase as well. These concerns fuel management's desire for employees to sign noncompete agreements, but many courts are reluctant to enforce an agreement that may effectively preclude as individual from pursuing his or her profession. Rather than enforcing these contracts to prevent competition, courts are increasingly focusing upon protecting companies' legitimate proprietary interests as trade secrets.
